CORPORATE GOVERNANCE IN RUSSIA
"Corporate Governance Structure Development on the Ural Corporations: Problems of Practice and Regional Policy" (EERC, 2002-2003)

This research was aimed at presenting theoretic and empiric analysis of corporate governance practice influence on performance, efficiency and investment attractiveness of Ural joint-stock companies (corporations). The paper pays special attention to evaluating the influence of corporate governance components and quality on efficiency of functioning of Ural corporations, as well as to the analysis of dominant owner and property distribution influence on corporate governance and firm performance. The work uses panel data on 343 Ural joint-stock companies (corporations) in 1997-2002.

Within the framework of the program "Graduates of the Central European University for Russian higher education institutions" ("Open Society Institute" (Soros Foundation), 2003) Lazareva O. and Rachinsky A.A. (NES, CEFIR (Moscow) and Ruzhanskaya L.S. (USU) created a master program course "Corporate Governance" for the students of the USU Department of Economics with the duration of 32 academic hours. Previous research in the sphere of corporate governance allowed the authors to include into the course methodic manual both the basics of the corporate governance theory (principal-agent theory, stakeholders theory) and international and Russian practice of corporate governance, including the most challenging issues of the Russian corporate governance model. The brief description of the course content is supplemented by the materials for seminars.
